Jason has extensive experience acting on Hong Kong initial public offerings, large scale cross-border mergers and acquisitions, private equity investments, post-initial public offerings fund raising and corporate restructurings and compliance matters in relation to Hong Kong listed companies. Jason acted for Mainland Chinese enterprises in a number of Hong Kong initial public offerings and represents foreign investors investing in Mainland China and Mainland China state-owned enterprises in outbound investments.

  • Advising joint global coordinators and other underwriters for a leading diversified clean energy company in Mainland China on the IPO and listing of H-Shares on the Main Board of the Hong Kong Stock Exchange.
  • Advising a leading residential property developer in Mainland China on its conversion of its B-shares into H-shares and listing of H-shares on the Main Board of the Hong Kong Stock Exchange by way of introduction; this transaction was awarded Deal of the Year 2014 by Mainland China Business Law Journal.

Mergers and acquisitions

  • Advising a Hong Kong based investment holding company engaged in fire prevention and fighting equipment businesses on its acquisition of a leading Singapore-based supplier of Passenger Boarding Bridges and global integrated solutions provider of airport facility equipment at a consideration settled by the acquirer through the issuance of new shares and convertible bonds.
