Jason Wang is a Partner at LC Lawyers LLP. Jason has extensive experience acting on Hong Kong initial public offerings, large scale cross-border mergers and acquisitions, private equity investments, post-initial public offerings fund raising and corporate restructurings and compliance matters in relation to Hong Kong listed companies. He acted for Chinese enterprises in a number of Hong Kong initial public offerings and represents foreign investors investing in China and China state-owned enterprises in outbound investments.     • Advise a number of listed companies in Hong Kong on compliance matters in relation to providing general compliance advices, transactional advices and SFC regulatory advices.

    Takeovers related matters

    • Advised a Hong Kong based investment holding company (engaged in fire prevention and fighting equipment businesses) on its acquisition of a leading Singapore-based supplier of Passenger Boarding Bridges and global integrated solutions provider of airport facility equipment at a consideration of approximately US$700 million, which was settled by the acquirer through the issuance of new shares and convertible bonds.  The transaction constitutes a very substantial acquisition and connected transaction under the Hong Kong Listing Rules for the acquirer, requiring a consent for special deal and whitewash waiver from the Securities and Futures Commission and the independent shareholders of the acquirer.
